TAPE: Certified Profile Business Terms




Effective date: November 20, 2025




These Certified Profile Business Terms (“Business Terms”) supplement the Tape Terms of Use (“TOU”). If there’s a conflict, these Business Terms control for Certified Profiles and related business features (“Certified Profile Account”).

By creating or using a Certified Profile Account, you (a) agree to these Business Terms and the TOU and (b) represent you have authority to bind the business(es), venue(s) or organization(s) you represent and that you will accurately list each such business, venue or organization on the Tape Certified Profile Subscription payment form.




1) Eligibility, Authority & Compliance


You represent and warrant that you are duly authorized; your submissions are accurate and complete; and your business complies with all laws, regulations, and licensing obligations applicable to your operations and promotions.




2) Business Content & License


Business Content” includes trademarks, names, logos, images, text, URLs, promotional materials, listings, media, and other assets you provide. You retain ownership and grant Tape a worldwide, non‑exclusive, royalty‑free, perpetual, irrevocable, sublicensable license to use, host, store, reproduce, adapt, modify, publish, translate, create derivative works from, distribute, publicly perform, and display the Business Content in any media or format, on or off the Tape platform, to operate, improve, and promote the Services and your Certified Profile. This includes the right for Tape to sublicense, distribute, make available, or otherwise provide the Business Content to Tape’s partners, affiliates, service providers, distribution networks, promotional collaborators, and any third parties engaged by Tape to feature, market, promote, or distribute content on Tape’s behalf or in connection with Tape-related initiatives. If you are submitting Business Content on behalf of one or more venues, properties, clients, or represented entities, you represent and warrant that you have full authority to grant these rights for each such entity, and that all necessary permissions and clearances have been obtained. You agree to provide replacement or removal instructions in writing if needed; Tape will act within a reasonable time.




3) Fees & Payment (No Prices in Terms)


Fees, tiers, and benefits for Certified Profiles are listed on the Pricing & Fees page (as updated from time to time).

  • Fees are due when billed and are non‑refundable except as required by law.

  • We may update fees/benefits with 30 days’ notice by email or in‑app notice. Continued use after effective date is acceptance.

  • Taxes and government charges (if any) are your responsibility.




4) Use of Service; Editorial Nature; Quality Standards


“Certified Profile” is an editorial designation at Tape’s sole discretion. It: (a) is not a verification of legal standing; (b) does not guarantee visibility, impressions, or results; and (c) is not an endorsement. We may review, reject, or remove Business Content that violates the Business Terms, the TOU, law, or Tape quality standards (e.g., safety, authenticity, relevance, community fit).




5) Termination & Suspension


We may suspend or terminate Certified Profile access immediately (with or without notice) if: you breach these Business Terms/TOU; your content or conduct presents legal, security, or reputational risk; or for fraud, abuse, or evasion. You may cancel anytime; prepaid fees are non‑refundable. Sections intended to survive (licenses, disclaimers, limits, indemnities, dispute resolution) survive termination.




6) Warranties; Disclaimers


TO THE FULLEST EXTENT PERMITTED BY LAW, THE CERTIFIED PROFILE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TAPE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON‑INFRINGEMENT.




7) Indemnification


In addition to your obligations under the TOU, you will defend, indemnify, and hold harmless Tape and its affiliates, officers, directors, employees, and agents from claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to Business Content, your promotions/advertising, your use of the Certified Profile service, or your breach of these Business Terms, the TOU, or law. This includes, without limitation, claims arising from: (a) your submission or provision of Business Content; (b) any allegation that the Business Content infringes, violates, or misappropriates the intellectual property, publicity, privacy, contractual, or other rights of any third party; and (c) your lack of authority to grant the rights set forth in this Agreement on behalf of any venue, property, client, rights-holder, or other represented entity.

If you submit Business Content on behalf of one or more venues, properties, clients, artists, performers, rights-holders, or other represented entities, you specifically agree to indemnify Tape for any claims brought by or on behalf of those entities relating to: (i) ownership or licensing of the Business Content; (ii) use of names, likenesses, trademarks, or promotional materials; or (iii) any alleged unauthorized distribution, sublicensing, or promotional use by Tape or Tape partners pursuant to the rights granted in these Business Terms.

You further agree to indemnify Tape against any claims arising from Tape’s use, display, distribution, or sublicensing of Business Content consistent with the rights granted herein, including use by Tape’s partners, affiliates, service providers, creators, influencers, distribution channels, media platforms, and promotional collaborators.
For clarity, your indemnification obligations do not apply to claims arising solely from Tape’s unauthorized modification of Business Content (other than formatting or technical adjustments) or Tape’s use of Business Content in a manner that materially exceeds the rights you granted under these Business Terms.





8) Limitation of Liability


TO THE FULLEST EXTENT PERMITTED BY LAW, TAPE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOST PROFITS, GOODWILL, OR DATA. TAPE’S TOTAL LIABILITY RELATING TO YOUR CERTIFIED PROFILE WILL NOT EXCEED THE FEES YOU PAID FOR THAT CERTIFIED PROFILE IN THE 12 MONTHS BEFORE THE CLAIM AROSE.




9) Governing Law; Disputes


New York law governs (conflict rules excluded). Disputes are resolved as in the TOU’s arbitration section, including individual binding arbitration, class‑action waiver, small‑claims carve‑out, and one‑year limitations period.




10) Changes


We may update these Business Terms. Material changes will be notified via email or in‑app notice and apply prospectively. Continued use after the effective date means acceptance.
